If I can wordsmith a bit:
Cancellation or force majeure clauses in the contract with Rosen Shingle
Creek for the 2020 convention in Orlando, FL may only be exercised by a
majority of the entire membership of the LNC.
I suggest this rearrangement to avoid arguments about intent. "Majority
vote" means majority of those present and voting. Even though RONR says
that's the way it works if the phrase is "unmodified," I don't want to have
to argue with someone who wishes to weasel out whether "of its entire
membership" is just who is eligible to vote, but the threshold is still
simple majority. My suggested phrasing matches the usage in RONR p. 403
for what is desired here.
I will co-sponsor such a motion.
