There is a little more to it than just that summary. I presume that I will
be able to vote yes on this motion after reviewing the contract terms, but
I do just want to ask for confirmation that our other contract approval
policies have been met.
Policy Manual Section 2.02.8, which describes the role of the EPCC,
requires that, "Following General Counsel’s review of a director-level
employment contract, the EPCC shall review the proposed contract and any
related advice from General Counsel. No such contract may be signed by the
Chair without having first obtained either EPCC approval of the contract at
least 10 days prior, or an affirmative vote from a majority of the fixed
membership of the LNC."
The LNC should at least be informed that our counsel has reviewed the
contract.
Also, since the LNC is not in this motion being asked to approve the
contract, the LNC should be informed that the EPCC has already approved the
contract.
As LNC members review copies of the contract, we should be confirming that
it meets the listed requirements in PM Section 2.01.3.
I'm requesting a copy of the contract, and I agree to keep it confidential.
